<p><span style="font-size: 14pt;"><strong>PAYMENT POLICY AGREEMENT</strong></span><br /><br />AUDIE EXPO believes that it is important for you to have a clear understanding of the Payment Policy Terms you are agreeing to by completing the Payment Form included in your Exhibitor Service Manual. We ask that you carefully review the following information, and if you have any questions or concerns, please ask us. By completing the included Payment Form you are entering a contract which limits your possible recovery in case of loss or damage. The terms and conditions set forth below become a part of the Contract between AUDIE EXPO and you, the EXHIBITOR. Acceptance of said terms and conditions will be construed when the Method of Payment Form is Signed.<br />For Purposes of this Contract “AUDIE EXPO” or “Audie Expo Companies” means Audie Expo Services, Inc. and their respective employees, directors, officers, agents, affiliated companies, and related entities including, but not limited, to any subcontractors AUDIE EXPO may appoint. The term “EXHIBITOR” means the Exhibitor, its employees, agents, representatives, and any Exhibitor Appointed Contractors (“EAC”).<br /><br />AUDIE EXPO requires that full payment, including any applicable tax, is due prior to the close of the show. All payments must be in U.S. Funds and all checks must be drawn on a U.S. bank. AUDIE EXPO accepts payment via cash, company check, credit card (American Express, VISA and Mastercard) and/<br />or wire transfers. Please contact our office for wire transfer information. EXHIBITOR is responsible for a bank transfer fee of $30.00 and must be included in your payment. There will be a fee of $50.00 for any returned check. EXHIBITOR must provide a valid credit card authorization form with orders even when paying via cash, check or bank transfer. It is understood that acceptance of the following terms and conditions will be construed when any of the following conditions are met:<br />- The Material Handling Form is sent in; or<br />- Exhibitors materials are delivered to either the AUDIE EXPO warehouse or show site for which AUDIE EXPO is the Official General Contractor for the event (This includes shipments signed for and received by the exhibit facility): or<br />- When an order or any rental equipment and/or labor is placed by the EXHIBITOR with AUDIE EXPO.<br />Orders received without advance payment or after the deadline date will incur additional “After Deadline” or “Standard Price” charges as indicated on each order form. All materials and equipment are on a rental basis for the duration of the show or event and remain the property of AUDIE EXPO except where specifically identified as a sale. All rentals include delivery, installation, and removal from EXHIBITOR’S booth. AUDIE EXPO reserves the right to withhold any services to an exhibitor for non-payment of outstanding invoices by the second day of the show.<br /><br />In case of cancellation of any orders or services by EXHIBITOR, a one-hour “per person, per hour” charge will be applied for all labor orders that are not cancelled in writing at least 24 hours prior to the scheduled start time. If Upgraded Carpet, Custom-Cut Carpet, Modular Display Rental Unit and any other custom-order items or services have already been delivered to show site or provided at the time of cancellation, fees will remain at 100% of the original charge. If the Show or Event is cancelled because of reasons beyond AUDIE EXPO’S control, EXHIBITOR remains responsible for all charges for services<br /> <br />and equipment provided up to and including the date of cancellation. AUDIE EXPO will not issue refunds to EXHIBITOR of any payments made before the date of cancellation. It is EXHIBITOR’S responsibility to advise the AUDIE EXPO Service Center Representative of problems with any orders, and to check the EXHIBITOR’S invoice for accuracy prior to the close of the Show or Event. Any credit card refunds must be resolved within 30 days. If an exhibitor needs to change any charges from one credit card to another, a 3% service fee will be charged for the credit and a 3% service fee for the new charge. <br />If Exhibitor is exempt from payment of sales tax, AUDIE EXPO requires an exemption certificate for the State in which the services are to be used. Resale certificates are not valid unless EXHIBITOR is re billing these charges to its customers.<br /><br />For International EXHIBITORS, AUDIE EXPO requires 100% prepayment of advance orders, and any order or services placed at show site must be paid at <br />the show. For all others, should there be any pre-approved unpaid balance after the close of the show, terms will be net, due and payable in ORLANDO, FLORIDA upon receipt of invoice. Effective 30 days after invoice date, any unpaid balance will bear a FINANCE CHARGE at the lesser of the maximum <br />rate allowed by applicable law, or 1.5% per month, which is an ANNUAL PERCENTAGE RATE OF 18%, and future orders will be on a prepaid basis only. If any finance charge hereunder exceeds the maximum rate allowed by applicable law, the finance charge shall automatically be reduced to the maximum rate allowed, and any excess finance charge received by AUDIE EXPO shall be either applied to reduce the principal unpaid balance or refunded to the payer. If past due invoices or invoice balances are placed with a collection agency or attorney for collection or suit, EXHIBITOR agrees to pay all legal and collection costs. THESE PAYMENT TERMS AND CONDITIONS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF FLORIDA.<br /><br />The EXHIBITOR is primarily responsible for the payment of charges. In the event the EXHIBITOR has arranged for an exhibit house or other third party to handle the EXHIBITOR display and be billed for all services, the EXHIBITOR will agree to the third party billing if the exhibit house supplies the appropriate credit card information on the Third Party Payment Authorization form. Advance payment in full must accompany the order including estimated labor and drayage charges. By signing the Third Party Payment Authorization form, the EXHIBITOR agrees that they are primarily responsible for payment of charges. In the event the named third party fails to pay all charges, such charges will be paid by the EXHIBITOR on demand, including any and all fees connected with the collection of this account.<br /><br />In the event of any dispute between the EXHIBITOR and AUDIE EXPO relative to any loss, damage or claim, such EXHIBITOR shall not be entitled to and shall not withhold payment, or any partial payment, due to AUDIE EXPO for its services, as an offset against the amount of any alleged loss or damage. Any claims against AUDIE EXPO shall be considered a separate transaction, and shall be resolved on its own merits. AUDIE EXPO reserves the right to charge EXHIBITOR for the difference between the EXHIBITOR’S estimate of charges and the actual charges incurred by EXHIBITOR, or for any charges that AUDIE EXPO may be obligated to pay on behalf of EXHIBITOR, including without limitation, any shipping charges. If EXHIBITOR provides credit card for payment and charges are rejected by the EXHIBITOR’S credit card company for any reason, AUDIE EXPO hereby provides notice that it reserves the right, and EXHIBITOR authorizes AUDIE EXPO, to continue to attempt to secure payment through that credit card for as long as unpaid balances remain on the EXHIBITOR’S account.<br /><br />ANY ORDERS RECEIVED FROM EXHIBITORS WHO HAVE AN OUTSTANDING BALANCE FROM PREVIOUS SHOWS WILL NOT BE PROCESSED UNTIL PAYMENT OF THE DELINQUENT INVOICE IS SETTLED IN FULL AND A CREDIT CARD OR CERTIFIED CHECK FOR THE NEW SERVICES AND EQUIPMENT IS RECEIVED AND CLEARED.</p>

<p>This Privacy Policy (the “Policy”) governs the manner in which Boomer Store Name collects, uses, maintains, and discloses information collected from you in connection with the Boomer Store Name online storefront.</p>

<p>Information collected may be used in connection with or for purposes of providing services to you, your business, and to others, improving services provided to you, your business, or to others, providing notices to you, complying with applicable law, and any other lawful purpose, including protecting the health or safety of you or others, and monitoring and preventing fraudulent or unlawful third-party activity.</p>
<p><strong><span style="text-decoration: underline;">Commercial Use of Information</span></strong></p>
<p>Boomer Store Name will not sell or share the Information with third parties for any commercial purposes without your consent and express agreement. Boomer Store Name may, however, use the Information in order to share generic, collective, group, or other non-identifying information about the use of Boomer Store Name’s products and services as part of commercial transactions with third parties to help Boomer Store Name improve its products and services or for any other lawful purpose.</p>
<p><strong><span style="text-decoration: underline;">Third-Party Service Providers</span></strong></p>
<p>Boomer Store Name may use third-party service providers and vendors to assist Boomer Store Name in providing its products and services to you and others, including, without limitation, services to host Boomer Store Name’s Software Services, Storefronts, payment processes, and other services pursuant to the Agreement. Boomer Store Name may also use third-party service providers and vendors to store Information and other data. Any such third parties would have access to your Information for the limited purpose of assisting, as reasonably necessary, Boomer Store Name in providing Software Services and other services pursuant to the Agreement.</p>
<p>Boomer Store Name may disclose your Information as Boomer Store Name reasonably believes is required by court order, governmental directive, or other law, to protect the rights of Boomer Store Name, or as otherwise allowed pursuant to the Agreement or applicable law.</p>
<p><strong><span style="text-decoration: underline;">Information Protection</span></strong></p>
<p>Boomer Store Name will retain, protect, and process the Information and underlying or related data using commercially reasonable practices. Although Boomer Store Name will undertake such efforts to preserve and protect the integrity of the Information, you acknowledge and agree that all security measures have potential risks.</p>
<p><strong><span style="text-decoration: underline;">Customer Control of Collected Data</span></strong></p>
<p>You may decline to provide or submit Information to us, however, some of our Software Services, Storefronts, or other services may not be available to you if you choose not to provide or submit Information. You also have a right to access the Information that we hold (about you) upon reasonable written request.</p>
<p><strong><span style="text-decoration: underline;">Updates to our Policy</span></strong></p>
<p>By entering into the Agreement or the Acknowledgment or by using our products or services, you consent to the collection and use of your Information by us consistent with this Policy and the Agreement. We may change this Policy from time to time, for any reason. Any such changes become effective when posted.</p>
<p>To the extent that this Policy is inconsistent with applicable law, it is the intent of Boomer Store Name to comply with applicable law. If there is any conflict between any provision of this Policy and applicable law, such applicable law shall prevail; provided, however, that any such conflicting provision in this Policy shall be curtailed and limited only to the extent necessary to bring it within the legal requirements and the remainder of this Policy shall not be affected thereby.</p>
